Terms and Conditions

Introduction

The following Terms and Conditions (the “T&C”) govern your use of the Ulpian Services (as defined below), including but not limited to, on a free, trial, proof of concept, beta, or early access basis, unless your use is subject to a separate subscription agreement executed between you and Ulpian. By using the Ulpian Services, with or without registration, you (“you” or the “User”) are agreeing to these T&C. If you are using the Ulpian Services on behalf of another entity (such as your employer), you must have the authority to accept the T&C on their behalf and thus confirm that you are an authorised representative of that entity. If you do not have such authority or do not agree with the T&C, do not access or use the Services in any manner.

The T&C outline the conditions for using Ulpian’s services, including its artificial intelligence technologies, platforms, websites, applications, add-ons, plug-ins, components, functionalities, programs, and any other services specified in any mutually executed arrangement (collectively, the “Ulpian Services” or the “Services”). The T&C incorporate Ulpian’s Privacy Policy and any other documents that specifically reference the T&C.

During the period of Ulpian use, access to the Services is provided on an “as-is” basis without any representations, warranties, or conditions of any kind. Any data or content you share with the Services may be permanently lost upon the expiry of the Ulpian Services use period.

You may not access the Services if you intend to monitor the functionality, performance, or availability of the Services for any competitive purposes.

“Ulpian”, “we”, “us” or “our” is an AI research and IT development company that provides legal technology services primarily through its platform available at app.ulpian.com (the “Platform”). The Platform is a research tool, and its output is not legal advice. The output of Ulpian is AI-generated and may contain errors or misstatements or may be incomplete. Ulpian is not authorised to provide legal advice. The Services are intended for use by legal professionals, business entities, and public authorities and not by consumers or non-legal experts. We do not promise to offer the Services forever or in their current form, as they are subject to change and regular updates for the purpose of improving the Services themselves.

Ulpian reserves the right to update these T&C by posting the revised T&C on our website (www.ulpian.com). We may make changes to the T&C due to:

• Changes to the law or regulatory requirements;
• Security or safety reasons;
• Circumstances beyond our reasonable control;
• Changes we make in the usual course of developing our Services;
• To adapt to new technologies.

All changes will take effect upon posting on Ulpian’s website. In case of material changes we will notify you at least one month before such changes apply to you. While changes are not retroactive, your continued use of the Ulpian Services following any such updates acknowledges your acceptance of the revised T&C. If you do not agree with changes, you must stop using the Services. Without your explicit written consent, the T&C shall not be modified in a way that significantly reduces our obligations regarding Confidential Information or Content.

General Principles and Policies

To foster innovation and creativity, we believe you should have the freedom to use the Services as you see fit, provided you comply with the law and do not cause harm.

Accuracy and Verification

• Ulpian is not a substitute for legal advice provided by a lawyer or other legal professional.
• Always cross-check Ulpian’s AI-generated results with authoritative legal sources and apply professional judgment.
• Understand that outputs require human interpretation and verification; ensure qualified legal professionals review outputs for accuracy and completeness.
• Do not rely solely on Ulpian Services for legal or commercial decisions.
• You are responsible for final outcomes based on Ulpian outputs.

Confidentiality and Data Protection

• You are responsible for any input data; ensure it complies with all laws, these T&C, data protection regulations, privacy policy, and client confidentiality agreements. You represent you have all rights and permissions to provide Input.
• Never upload sensitive or personal data.

Ethical Use

• Use the Services in a manner consistent with professional legal ethics.
• Do not use outputs to mislead, deceive, discriminate, or manipulate others.
• Do not repurpose or distribute outputs to defraud, scam, spam, bully, harass, defame, discriminate, or promote violence, hatred, or suffering.

Training and Competence

• We can offer training on the functionality and proper use of the Services.
• Stay updated on AI advancements and legal-ethical guidelines.

Access and Registration

You must be at least 18 years old to register. You represent you meet age requirements and are competent to agree to these T&C. Provide accurate Registration Data and keep it current. False or incomplete data may lead to account suspension or termination.

Account Credentials

Credentials are personal—do not share them. You are accountable for all activity under your account. Notify Ulpian immediately of any suspected unauthorized access.

By providing your email, you consent to electronic notifications. You may opt out of marketing communications by contacting support at info@ulpian.com; service-related notices will continue.

Usage of the Services

Subject to compliance with these T&C, Ulpian grants you a non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services for internal business purposes.

The Services are provided on an as-is, as-available basis. Ulpian disclaims all warranties, including merchantability, fitness for purpose, or non-infringement. We do not guarantee uninterrupted or error-free operation.

You agree not to:

• Reverse-engineer, decompile, or attempt to discover source code or underlying components.
• Use robots, spiders, scrapers, or similar tools to access or extract data.
• Bypass rate limits or protective measures.
• Replicate, rent, lease, sell, sublicense, distribute, or create derivative works of any part of the Services.
• Interfere with server stability or other users’ access.
• Use the Services for competitive analysis or to build competing products.
• Infringe third-party rights or transmit malicious software.
• Impersonate others or use the Services fraudulently.
• Share account credentials or circumvent access restrictions.
• Reference Ulpian in a way that implies endorsement without prior written consent.

Third-party components of our Services are subject to their own terms; Ulpian is not responsible for them.

All feedback you provide may be used by Ulpian to improve the Services, without compensation to you.

Content and User Data

Users may input information (“Input”) and receive results (“Output”)—collectively “Content.” You warrant you have rights to your Input. You retain ownership of Input; Output rights are assigned to you, though similar Output may be provided to others.

Ulpian may use Content (including anonymized or aggregated forms) to provide, maintain, and improve the Services, comply with law, enforce policies, and ensure safety. To opt out of Content use for model training, email info@ulpian.com.

Confidentiality

Each party may disclose Confidential Information. Confidential Information includes:

1. Non-public business information (plans, trade secrets, pricing, financials);
2. Subscription agreement terms;
3. Any information marked confidential by the Disclosing Party.

Confidential Information does not include information that is public, rightfully disclosed by a third party, approved for release, already possessed without restriction, or independently developed.

The Receiving Party must:

• Protect it with at least commercially reasonable care;
• Use it only as permitted here;
• Not disclose it except as required by law (with advance notice when possible).

Breach entitles the Disclosing Party to equitable relief and other remedies.

Fees and Subscriptions

Subscription and Billing

• Subscriptions continue until terminated. Internet access and valid Payment Method (via Stripe) are required.
• Fees are due in advance and auto-renew until cancellation.
• All fees exclude taxes; you authorize charges for fees, taxes, and other incurred charges.
• Late payments may incur interest and service suspension.
• We will notify you 30 days before any price increase.

Promotional Offers

We may offer special promotions (“Offers”). Eligibility is at our discretion; we may revoke Offers or suspend accounts if ineligible.

Cancellation

Cancel anytime by emailing info@ulpian.com or via account settings. No new charges after cancellation; access continues until period end. No refunds for unused time, unless expressly agreed. First-time users may withdraw within 14 days of acceptance by emailing info@ulpian.com.

We may suspend or terminate access if you breach these T&C, misuse the Services, or as required by law.

Privacy and Security

Your use of our websites is governed by our Privacy Policy. We maintain commercially reasonable safeguards for the security and confidentiality of Content. Authorized Ulpian personnel may access Content only as necessary to perform services, improve systems, comply with legal requests, or enforce policies.

Representations & Warranties

These T&C form a valid, binding agreement. You are responsible for decisions based on Service outputs. Ulpian disclaims all warranties—implied or express—including merchantability, fitness for purpose, non-infringement, or uninterrupted operation. All materials are provided “as-is” and “as-available.”

Liability

To the fullest extent permitted by law:

• Ulpian is not liable for indirect, incidental, special, or consequential damages.
• Aggregate liability is capped at €50.
• You indemnify Ulpian against third-party claims arising from your use or breach of these T&C.

General Terms

• Independent Contractors: No agency, partnership, or joint venture.
• Subcontracting: Ulpian may use subcontractors but remains responsible.
• Assignment: You may not assign; Ulpian may assign to affiliates or in a sale.
• No Waiver: Rights not waived unless in writing.
• Severability: Invalid provisions are replaced to reflect intent; the rest remain in effect.
• Governing Law: Republic of Croatia; disputes in Zagreb courts.
• Entire Agreement: These T&C supersede all prior agreements.
• Electronic Communication: Notices sent electronically to your registered email.
